Cooperation Agreement Template
When two parties are interested in working on a business opportunity or project together, a Cooperation Agreement should be written up to lay out what the duties of each party will be and how payment (if applicable) will be shared. A printable Cooperation Agreement template can be downloaded through the link below.
The contract will ensure that all aspects of the work are clearly identified and will help reduce the risk that part of the project goes unfinished or work is duplicated. You may also find it helpful to keep a Cooperation Agreement template on file to save time and effort on future projects with outside parties.

How to Write a Cooperation Agreement?
To create a Cooperative Agreement sample for your organization, you will want to include the following information:
- Names of the people or organizations entering into the agreement. Note, it is possible for more than two separate parties to be part of the agreement. You will also want to briefly explain the purpose of the project.
- Explain in detail what the scope of work will entail, the start and end dates for the project, and an agreement that any extensions will be agreed upon by all parties.
- Define the duties of each party and outline the structure of the authority of the project. Depending on the scope and complexity of the work, it may help to have a chart listing each person working on the project, their title, and a hierarchy of responsibilities.
- How the funds for the project will be allocated to each party. All parties must agree to a fair division of the payment for the project and whether the people completing the project will be paid directly from the funding, or by their respective organizations through normal wages. Any parties acting as subcontractors on the project must also agree to the division of funds allocated.
- Resources to complete the project will need to be listed, including manpower, physical materials, machinery, or digital tools (such as software programs). Each party will need to describe what resources they will be providing, as well as listing who will be in charge of making sure all resources are properly allocated. Safety supervision and any means of measuring risk assessment should also be listed in this section.
- Accountability for each party and how each party will be kept on track for their portions of the project. You will also want to describe how problems that may arise during the project will be solved to the satisfaction of all parties.
- An agreement of termination terms or extension if the original deadline will not be met. Should one of the parties be unable to complete their portion of the project you will want to include a statement allowing for a third party to join to complete the work that will be agreed upon by all parties in the agreement.
- Final signature and date section with a representative from each party and their title listed.
